Welcome to UWise.io (formerly UnderwriteWise.com), operated by UWise LLC ("UWise," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any provision of these Terms, you must immediately discontinue use of the Services.

1. Eligibility and Account Requirements

You must be at least 18 years of age and legally capable of entering into binding contracts under applicable law to use our Services. By creating an account or using the Services, you represent and warrant that:

• You meet the minimum age requirement of 18 years
• All information you provide is accurate, current, and complete
• You have the legal authority to bind yourself to these Terms
• Your use of the Services does not violate any applicable law or regulation

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, including but not limited to, if we believe you have violated these Terms.

2. Account Registration and Security

To access certain features of our Services, you must create an account and provide personal and professional information, including but not limited to your name, email address, phone number, occupation, and investor profile. By creating an account, you agree to:

• Provide accurate, truthful, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and current
• Keep your password and account credentials confidential and secure at all times
• Notify us immediately at underwritewise@gmail.com if you suspect any unauthorized access to or use of your account
• Accept full responsibility for all activities that occur under your account, whether authorized by you or not

UWise shall not be liable for any loss, damage, or liability arising from unauthorized use of your account, whether or not such use was authorized by you. You may be held liable for losses incurred by UWise or other users due to unauthorized use of your account.

3. Permitted Use and Prohibited Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You specifically agree that you will not:

• Use the Services for any illegal, fraudulent, or unauthorized purpose, or engage in any activity that violates any applicable federal, state, local, or international law or regulation
• Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or proprietary systems underlying the Services
• Copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Services, except as expressly permitted in these Terms
• Attempt to gain unauthorized access to our servers, systems, networks, databases, or any other technology infrastructure
• Submit, upload, or transmit any property data, content, or information that you do not have the legal right to use, disclose, or share
• Intentionally misrepresent, manipulate, or falsify data or information to influence, distort, or manipulate AI-generated outputs or results
• Use any automated system, including but not limited to robots, spiders, scrapers, or offline readers, to access the Services in a manner that sends more request messages to our servers than a human could reasonably produce in the same period
• Interfere with, disrupt, or create an undue burden on the Services or the networks or systems connected to the Services
• Resell, sublicense, rent, lease, or otherwise commercially exploit the Services without our express written permission
• Use the Services to transmit any viruses, worms, defects, Trojan horses, malware, or any items of a destructive nature

We reserve the right, in our sole discretion, to suspend, restrict, or terminate your access to the Services, without prior notice or liability, if we determine or have reason to believe that you have violated these Terms or engaged in prohibited conduct.

4. AI-Powered Analysis and Important Disclaimers

Our underwriting platform utilizes artificial intelligence (AI) technology and third-party APIs, including OpenAI and Perplexity, to analyze real estate and property data. By using the Services, you expressly understand, acknowledge, and agree to the following:

• Informational Purposes Only: All AI-generated outputs, analyses, reports, and recommendations are provided for informational and educational purposes only. They are not intended to be, and should not be construed as, professional advice of any kind.
• No Professional Advice: UWise does not provide financial advice, investment advice, legal advice, tax advice, accounting advice, or any other professional advisory services. You should consult with qualified professionals (such as financial advisors, attorneys, accountants, or other licensed professionals) before making any business, investment, or financial decisions.
• Independent Verification Required: You are solely and exclusively responsible for independently verifying, validating, and confirming all AI-generated results, data, analyses, and recommendations before relying on them or taking any action based on them.
• No Accuracy Guarantee: UWise does not guarantee, warrant, or represent that AI-generated outputs will be accurate, complete, reliable, current, error-free, or suitable for your specific purposes or needs.
• Limitation of Liability: UWise expressly disclaims all liability and responsibility for any decisions, actions, or omissions you make or take based on AI-generated information provided through the Services. You assume all risks associated with your use of the Services and any reliance on AI-generated content.
• Third-Party AI Processing: Data you submit may be transmitted to and processed by third-party AI service providers. We are not responsible for the accuracy, reliability, or performance of third-party AI systems.

5. Subscription Plans and Payment Terms

a. Service Tiers

We may offer both free and paid subscription tiers. Access to certain features, functionalities, or data may require a paid subscription. We reserve the right to modify, add, or remove features from any service tier at any time.

b. Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. We do not store full credit card numbers on our servers. By subscribing to a paid plan, you authorize Stripe to charge your designated payment method according to the terms of your selected subscription plan (monthly, annually, or otherwise).

c. Billing and Automatic Renewal

Subscription fees are billed in advance on a recurring basis (monthly, annually, etc.) according to the billing cycle of your chosen plan. Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for an additional equivalent period, and your payment method will be charged automatically.

d. Fee Changes

We reserve the right to change our subscription fees at any time. Any fee changes will take effect at the start of your next billing cycle after we provide you with advance notice. If you do not agree to the fee change, you may cancel your subscription before the new fees take effect.

e. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at underwritewise@gmail.com. Cancellations will take effect at the end of your current billing period, and you will retain access to paid features until that time.

f. Refund Policy

All subscription fees are non-refundable, except as expressly required by applicable law. We may, in our sole discretion, issue refunds for duplicate charges, billing errors, or other exceptional circumstances. Refund requests must be submitted within 30 days of the charge in question.

6. Data Usage, Privacy, and Consent

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you expressly consent to the collection, use, storage, and processing of your information as described in the Privacy Policy.

We may use anonymized, de-identified, or aggregated data derived from your use of the Services to:

• Improve, train, and optimize our AI models and algorithms
• Conduct internal research, analytics, and performance benchmarking
• Enhance user experience and develop new features or products
• Generate statistical insights and industry reports (without identifying individual users)

We will not sell your personal information to third parties.

7. Third-Party Services and External Links

UWise integrates with and utilizes various third-party services, tools, and APIs to provide the Services, including but not limited to:

• OpenAI API and Perplexity API (AI processing and analysis)
• HubSpot (customer relationship management and communications)
• Google Analytics (website traffic and user behavior analysis)
• Stripe (payment processing and subscription management)

Our Services may also contain links to third-party websites, applications, or resources. We are not responsible for and do not endorse the content, policies, practices, privacy policies, terms of service, or actions of any third-party providers or websites. Your use of third-party services is governed solely by their respective terms and policies.

You acknowledge and agree that UWise shall not be liable for any loss, damage, or harm arising from your interactions with third-party services.

8. Intellectual Property Rights

All content, materials, software, code, text, graphics, logos, icons, images, audio, video, data, algorithms, user interfaces, and designs available on or through the Services (collectively, "Content") are the exclusive property of UWise LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your own internal business or personal educational purposes. This license does not grant you any rights to:

• Copy, reproduce, distribute, publicly display, publicly perform, modify, adapt, translate, or create derivative works of any Content
• Use our trademarks, service marks, trade names, logos, or branding without our prior written consent
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use the Services or Content for any commercial purpose not expressly authorized by us

All rights not expressly granted to you in these Terms are reserved by UWise LLC and its licensors.

9. User-Generated Content

When you submit, upload, or transmit property data, information, or other content through the Services ("User Content"), you retain ownership of your User Content. However, by submitting User Content, you grant UWise a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with providing, operating, and improving the Services.

You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to submit the User Content
• Your User Content does not violate any third-party rights or applicable law
• Your User Content does not contain any confidential or proprietary information

10. Termination and Suspension

We reserve the right, in our sole discretion, to suspend, restrict, or terminate your account or access to the Services at any time, with or without prior notice, and with or without cause, including but not limited to:

• Violation of these Terms or our policies
• Suspected fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Requests by law enforcement or government agencies
• Technical or security concerns

Upon termination, your right to use the Services will immediately cease. We may, but are not obligated to, delete your account data. Termination does not relieve you of any obligations or liabilities incurred prior to termination.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UWISE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "UWISE PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE UWISE PARTIES FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO UWISE, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE UWISE PARTIES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF AI-GENERATED CONTENT, DATA, ANALYSES, OR RESULTS
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK AND DISCRETION. NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY UWISE OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY.

13. Indemnification

You agree to indemnify, defend, and hold harmless UWise LLC and the UWise Parties from and against any and all third-party claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

• Your access to or use of the Services
• Your violation of these Terms or any applicable law or regulation
• Your violation of any third-party rights, including intellectual property rights
• Any User Content you submit, upload, or transmit through the Services
• Any fraudulent, negligent, or wrongful conduct by you

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

14. Modifications to Terms

We reserve the right to modify, amend, update, or replace these Terms at any time, in our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we may provide additional notice, such as by email or through a prominent notice on our website.

Your continued use of the Services after any changes to these Terms constitutes your binding acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Services immediately.

15. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Broward County, Florida. You irrevocably consent and submit to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

16. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights, including your right to file a lawsuit in court.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including the breach, termination, or validity thereof (collectively, "Disputes"), shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Broward County, Florida, unless otherwise agreed by the parties.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. You agree to waive your right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

17. Miscellaneous Provisions

a. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and UWise regarding the Services and supersede all prior or contemporaneous agreements, understandings, or representations.

b. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

c. Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

d. Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.

e. Force Majeure

UWise shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

f. Survival

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4, 8, 9, 11, 12, 13, 15, 16, and 17.
